TERMS AND CONDITIONS – JAPPY CLUB

Jappy Club is a marketing agency that connects restaurants with content creators for promotional purposes. By using our services, all parties agree to the following:

1. Nature of the service

Jappy Club acts solely as an intermediary to facilitate collaborations between restaurants and content creators. We do not produce, handle, distribute, or sell food or beverages, nor do we participate in the internal operations of restaurants.

2. Responsibility for products and services

  • Restaurants are solely responsible for food preparation, service quality, health and safety compliance, permits, and legal regulations.
  • Jappy Club assumes no civil, criminal, sanitary, or commercial liability related to products or services provided by restaurants.

3. Content creator responsibilities

The content creator will receive a quantity of food and/or beverages as part of the promotional collaboration. These quantities will be specified on the Jappy Club website or in direct messages sent to each creator prior to their visit.

The creator agrees to the following obligations:

  • If collaborating via stories: publish within 24 hours after the visit

  • If collaborating via video: publish within 7 days after the visit

Posts must be shared on the agreed social media platforms.

If the collaboration includes alcoholic beverages or cocktails, the creator must be 21 years or older and agrees to present a valid ID at the establishment if requested.

The creator is responsible for their published content, advertising compliance, copyright, music/image usage, and tax obligations related to their activity.

4. Image and content usage

  • Both restaurants and creators authorize Jappy Club to repost, share, and use collaboration content for agency promotional purposes unless otherwise agreed in writing.
  • Jappy Club does not claim ownership of the content, only promotional usage rights.

5. Independent relationship

Restaurants and creators operate as independent parties. No employment, partnership, or legal representation relationship is created with Jappy Club.

6. Dispute resolution

  • Any dispute or issue between a restaurant and a creator must be resolved directly between those parties.
  • Jappy Club does not act as mediator, arbitrator, or responsible party in such disputes.

7. Limitation of liability

Jappy Club is not responsible for:

  • Food-related illness or allergies

  • Physical or material damages

  • Breach of agreements between parties

  • Campaign performance results

  • Loss of income or reputation

  • Cancellations or delays

8. Modifications

Jappy Club may update these terms at any time. Continued use of the service implies acceptance of changes.

9. Governing law

These terms are governed by the laws of the State of New York, United States.
